1. Acceptance of Terms
By accessing or using NextPartner (“the Platform”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Platform.
2. Services Provided
NextPartner offers a search and automated matching service to connect clients and suppliers (“Users”). Users may upload price lists or requests, which the Platform uses to match and suggest potential business partners based on user criteria and preferences.
3. User Eligibility
To use the Platform, Users must be at least 18 years old and have the legal capacity to enter into binding agreements. By registering, Users confirm that they meet these eligibility requirements.
4. Account Registration and Security
Users must provide accurate and complete information when creating an account on the Platform. Each User is responsible for maintaining the confidentiality of their account credentials and for all activities occurring under their account.
5. Free Access and Payment Terms
The Platform is free to use until December 1st, 2023, after which certain services may incur fees. Users will be notified of any applicable fees prior to being charged, and users will have the option to continue or discontinue use. No fees will be charged without user consent.
6. Automatic Matching and Notifications
The Platform provides automatic matching based on the information provided by Users. All leads will be sent via email, and Users may manage these leads within their account settings, including the option to blacklist certain matches.
7. User Obligations
Users agree to use the Platform for legitimate business purposes only. Users must:
Ensure all content uploaded to the Platform (e.g., price lists, requests) is accurate and not misleading.
Not misuse or manipulate the Platform’s matching algorithm.
Refrain from uploading or distributing harmful content (e.g., malware, spam).
8. Intellectual Property Rights
All content and software on the Platform are the property of NextPartner Platform or its licensors. Users are granted a limited, revocable license to use the Platform. Unauthorized use, reproduction, or distribution of content on the Platform is prohibited.
9. Privacy and Data Protection
Our Privacy Policy explains how we handle and protect User data. By using the Platform, you agree to the collection and use of your information as outlined in our Privacy Policy.
10. Liability and Disclaimers
NextPartner provides services “as is” and makes no warranties, either express or implied, regarding the accuracy or reliability of matches or leads. The Platform is not liable for any damages arising from the use or inability to use the Platform, including loss of business opportunities, data, or profits.
11. Termination of Use
We reserve the right to suspend or terminate a User’s access to the Platform at any time if they breach these Terms. Users may also terminate their account at any time by following the instructions on the Platform.
12. Amendments to Terms
NextPartner reserves the right to modify these Terms at any time. Users will be notified of any significant changes, and continued use of the Platform constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of Czech Republic. Any disputes arising out of or related to these Terms will be resolved in the courts of Czech Republic.
